Terms of Service

These Terms of Service (the "Terms") set out the conditions on which Revolts ("we", "us") provides Revolts Analytics (the "Service"), a sales and advertising analytics service for Amazon sellers. The Terms are published publicly and can be read without logging in.

1. Application

These Terms apply between us and the User in relation to use of the Service. A User is deemed to have agreed to these Terms upon beginning to use the Service. Where we and a User enter into a separate written agreement, that agreement prevails over these Terms.

2. Definitions

• "User" means the selling business (a company or sole proprietor) that receives the Service.
• "Authorized Account" means an Amazon seller account or advertising account that the User has authorized to connect to the Service.
• "Amazon APIs" means the Amazon Selling Partner API (SP-API) and the Amazon Ads API.
• "Retrieved Data" means information the Service retrieves for an Authorized Account through the Amazon APIs.

3. Application for use and formation of agreement

To use the Service, apply in the manner we specify. We review the application, present the scope of provision and the fee, and the agreement is formed when both parties agree. We may decline an application that we consider contrary to these Terms or to Amazon policies.

4. Account authorization

1. The Service retrieves data through the Amazon APIs only for Authorized Accounts that the User has explicitly approved on the Amazon authorization (OAuth) screen. We do not connect to accounts of others that have not granted authorization.
2. The User shall authorize only accounts they administer, or accounts for which they have obtained the express consent of the account owner. The User shall not authorize a third party account without the consent of its owner.
3. We never receive a User Amazon ID or password. Authorization takes place solely through the authorization mechanism provided by Amazon.
4. The User may revoke the authorization at any time from Manage Your Apps in Seller Central. Once revoked, we stop retrieving new data from that account.

5. Fees

Fees for the Service are quoted individually according to how the Service is used. We confirm the number of accounts and products in scope, the scope of analysis, the refresh frequency and the delivery method, and then present a quotation in advance. No charge is incurred before a quotation is accepted. Payment method and timing are as separately agreed.

6. Prohibited conduct

In using the Service, the User shall not:

1. violate any law or public order and morals;
2. violate Amazon terms, the Amazon Data Protection Policy, the Acceptable Use Policy or other Amazon policies;
3. connect a third party account to the Service without the consent of its owner;
4. resell or redistribute analysis provided through the Service to third parties without our consent;
5. analyse, copy, modify or reverse engineer the Service;
6. interfere with the operation of the Service or impose an excessive load on it;
7. gain or attempt to gain unauthorized access; or
8. engage in any other conduct we reasonably deem inappropriate.

7. Handling of data

1. Retrieved Data is handled in accordance with our Privacy Policy.
2. We do not retrieve, store or use buyer personally identifiable information such as names, addresses, phone numbers or email addresses.
3. We use Retrieved Data only to provide the Service to the User who owns the Authorized Account it came from, and to verify operation, respond to incidents and improve the Service. We do not sell, lease or otherwise provide Retrieved Data to third parties.
4. Retrieved Data is held separately per User.

8. Relationship with Amazon

The Service is provided independently by us. It is not provided by, affiliated with, sponsored by or endorsed by Amazon.com, Inc. or its affiliates ("Amazon"). Amazon, Amazon.co.jp and their logos are trademarks of Amazon.com, Inc. or its affiliates. Amazon bears no responsibility for the content, quality or results of the Service.

9. Changes, suspension and termination of the Service

We may change the content of the Service or temporarily suspend it due to changes to the Amazon APIs or Amazon policies, system maintenance, or other unavoidable circumstances. Where this can be anticipated, we notify Users in advance. If we discontinue the Service, we give reasonable prior notice.

10. Disclaimers

1. Analysis provided by the Service is reference material to support the User decisions. We do not guarantee that decisions or actions based on it will improve sales, units sold, advertising performance or any other outcome.
2. The Service analyses data supplied by the Amazon APIs. We are not responsible for the content, accuracy, timing or availability of that data. Retrieval or refresh may be delayed or impossible due to API outages, specification changes or rate limits.
3. The Service does not automatically change bids, budgets or campaigns on behalf of the User. Operations in the Amazon console are performed by the User at their own responsibility.
4. The Service does not provide tax, accounting or legal advice.

11. Limitation of liability

Except in cases of our wilful misconduct or gross negligence, our liability to a User is limited to the amount of fees paid by that User to us in the month in which the damage arose. We are not liable for lost profits, lost business opportunities or other indirect or special damages.

12. Confidentiality

Each party shall not disclose or leak to any third party the other party business or technical information obtained in connection with the Service without the other party prior written consent, except where disclosure is required by law or the information is publicly known.

13. Termination of use and deletion of data

A User may terminate use of the Service at any time by notifying us. On termination of use or revocation of an Authorized Account, we delete retained Retrieved Data and credentials within 30 days as a rule. Records we are legally required to keep are deleted after the required period.

If a User breaches these Terms, we may suspend the Service or terminate the agreement without prior notice.

14. Intellectual property

Copyright and other intellectual property rights in the Service and this website belong to us or to the rightful owners. Rights in the Retrieved Data itself belong to the User or the rightful owner, and we handle it only within the scope set out in these Terms and the Privacy Policy.

15. Changes to these Terms

We may revise these Terms in response to changes in law, changes to Amazon policies, or changes to the Service. Revisions are published on this page together with the updated date. Users of the Service are notified separately of material changes.

16. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute arising in connection with the Service.
